Ah, interesting. I'd thought about that for a second but remembered it had technically acted first in Initiative (though it didn't do anything) so shouldn't be Flat-Footed. The circle itself keeps it that way? I've never futzed about with Planar Binding.
Its a balancing factor I ruled in for Solomon's binding circles to give your 11th level characters more of a chance to win against a CR 16 devil. That's not RAW.

I almost forgot a couple details: The cornugon has a fear aura out to 5 feet, Will DC 23; Sir Alphonse is immune, and grants his allies within 10 feet of him a +4 bonus on saves vs fear, I believe. The devil takes up 10 feet itself, so only those on the sane side of it as Sir Alphonse could benefit, so let's say Johann is next to Sir Alphonse and gets the +4 bonus on his save vs fear, but Ogon Fox and Lady Ihrin are just outside the area of Sir Alphonse's aura of courage. Let's have Will saves, DC 23, from Johann (at +4), Ogon Fox and Lady Ihrin, please, and Mwikali too, if baleful polymorph is a touch spell.
I also forgot to make an AoO for the horned devil in rounds 1 and 2 when PCs engaged it in melee...
