say I wanted to memorize a spell using a matamagic feat like empower spell.
I would have to memorize fireball at a 5th level spell slot in order to empower a fireball?
but If i use a metamagic rod It would remain at a 3rd level slot? unless I want to raise the spell level using the Heighten spell feat?

You are correct. Empowering through a feat would call for a 5th level slot, empowering with a rod it would remain a third level slot. And you don't have to choose to empower it beforehand with the rod, it is done spontaneously when you cast.
Also note that if you heighten it to 4th level, for example, you would then need a more powerful rod to apply empower to it (a regular rod rather than a lesser rod).
