I think its good, basicly the bear version of a large cat.
For flavor I think you could give the larger version a constrict (bear hug) on a sucessful grab.Gallard Stormeye |

I'm worried that might be too good. I essentially swapped pounce and rake for +2 con and +2 natural armor. It seems like bears should be tougher in exchange for doing less damage.
How about this:
