Assuming salt-water crocodile, right?
Battlefield off the coast of Florida or somesuch?
My gut wants to say shark because some of the croc's hunting tactics would be nullified by the shark breathing water, but this seems like it could depend heavily on the location...

It happens all the time in Northern Australia, the crocs usually come out on top in a one one... Australian salt water crocs can get up to 35 feet in length.
The thing is there is often more than one shark, so that can even the odds especially if the shark goes for the crocs belly.
Where Yellow Dingo lives you have sharks, crocs and poisonous jelly fish all sharing the harbour.
