Opportune Parry and Riposte steps:
1) Enemy makes attack against Swashbuckler
2) Swashbuckler declares parry (spending a 1 panache and an AoO)
3) Enemy rolls attack roll
4) Swashbuckler rolls attack roll with penalty every size difference the enemy is larger.
5) If Swashbuckler's attack roll is greater than enemy's attack roll then the parry is successful and the enemy's attack is negated. A critical hit (or even a 20) is not relevant to this step.
6) If the parry was successful you may spend an immediate action to make an attack (riposte) and the normal rules regarding critical hits and rolling a 20 apply to this attack.
Opportune Parry and Riposte (Ex): At 1st level, when an opponent makes a melee attack against the swashbuckler, she can spend 1 panache point and expend a use of an attack of opportunity to attempt to parry that attack. The swashbuckler makes an attack roll as if she were making an attack of opportunity; for each size category the attacking creature is larger than the swashbuckler, the swashbuckler takes a –2 penalty on this roll. If her result is greater than the attacking creature’s result, the creature’s attack automatically misses. The swashbuckler must declare the use of this ability after the creature’s attack is announced, but before its attack roll is made. Upon performing a successful parry and if she has at least 1 panache point, the swashbuckler can as an immediate action make an attack against the creature whose attack she parried, provided that creature is within her reach. This deed’s cost cannot be reduced by any ability or effect that reduces the number of panache points a deed costs.
Summary: it does not matter if you roll a critical threat, the check is whether or not your roll is greater than the attacker's roll. Even if you roll a 20 if you fail to exceed the attacker's roll you still fail the check.

Sorry I wasn't clear.
I didn't say the parry failed because it was a critical threat.
The parry failed because he didn't roll high enough.
Attacker rolls a total of 32 with a critical threat against the 25 AC.
Defender rolls a total of 31 and fails to parry.
Attacker rolls a total of 27 with his Critical Confirmation.
This beats the Defenders AC but not the Parry result.

Yes, it is a critical. The parry is against the attack, not the critical hit confirmation roll.
