They are very similar indeed. They should simplify it to one ability that works against "spells or effects that depend on sight or sound." They should make the activation an immediate action so as to react to incoming threats.
The current wording makes the ability very limited in its application. In 9 years of 3rd edition gaming (and I play bards 50% of the time), I've used the ability only twice (once to counter a harpy and once to counter a yeth hound or something like that....)
I'm not sure what the final wording should be, but I wouldn't be against something that also works at countering incoming spells with verbal component, provided the enemy caster is within a certain radius from the bard (40 feet radius sounds about right).
The ability should also, as a bonus, works like the "Joyous Noise" spell (spell compendium), which lets the bard "break" through a silence spell...

The current version is effective against opposing Bards, color spray, harpies, and any [Sonic] effect in the game.
The abilities can't be too good, since otherwise they invite a single level Bard 'dip', since they depend on Perform skill, not Bard level.
