Melee touch spells Vs Incorporeal creatures

Rules Questions

So when casting a melee touch spell such as shocking grasp against an incorporeal target, does your touch attack count as a magic weapon, count as a non-magical weapon so it misses or does it act like a spell so it just works?

It counts as spell because it is a spell.

Shocking grasp would do half damage; but would an unarmed strike with shocking grasp count as a magic weapon?

Nope. A "magic weapon" has to have a +1 enhancement. Casting a magical effect on a weapon does not make the weapon into a magic weapon.

Kay... but then how does the touch attack hit the creature? I mean with the spell you kinda enchant your hand to deliver a touch spell, but your touch isnt magic so how do you touch them?

Delivering the touch spell is a magical attack form.

Making an unarmed strike is not.

So if you've cast Shocking Grasp and held the charge, you can touch the thing, delivering the spell, or punch the thing (vs full AC), dealing no unarmed damage, but delivering the spell.
