Simple question: If you are tripped and land prone...
Are you considered to be flat-footed while falling (for purposes of AoO's with Greater Trip)?
Are you considered to be flat-footed once on the ground & prone?
If no, are you considered to be in a situation where you are denied your dex bonus?
To answer your questions:
You are not considered to be flat-footed while falling.
You are not considered to be flat-footed while prone (please see the prone condition for a list of penalties)
Prone: The character is lying on the ground. A prone attacker has a –4 penalty on melee attack rolls and cannot use a ranged weapon (except for a crossbow). A prone defender gains a +4 bonus to Armor Class against ranged attacks, but takes a –4 penalty to AC against melee attacks.
The only effects that prone as per RAW are:
-4 to-hit on melee attack rolls
Cannot use ranged weapons (except crossbow)
+4 AC vs ranged attacks
-4 AC vs melee attacks.
Nothing else. Prone is a pretty big penalty as is without adding the flatfooted to it. Also, they are going to provoke an Attack of Opportunity when they go to stand up (still not flat footed or dex denied) but they cannot be tripped again as part of that AoO (since until they are standing, they are still considered prone in the rules).

Understood. I wasn't looking to tack on more penalties on top of the those given from the condition:prone.
