Some spell descriptions refer to attacking. All offensive combat actions, even those that don't damage opponents, are considered attacks. Attempts to channel energy count as attacks if it would harm any creatures in the area. All spells that opponents resist with saving throws, that deal damage, or that otherwise harm or hamper subjects are attacks. Spells that summon monsters or other allies are not attacks because the spells themselves don't harm anyone.
I would say it is a non-offensive action since it doesn't harm or hamper, it doesn't deal damage and isn't resisted with a save throw.
As such it shouldn't make you visible.

I still say it is not an attack. All you did was counter a spell. Of course your speaking just gave your general position away so expect to be glitterdusted pretty soon.

I was thinking about an invisible counterspelling mage. Would counterspelling someone's spell count as an attack? Would it make a difference if you had the spell in memory vs. using dispel magic?

No, it doesn't target an enemy or have an area of effect that could include an enemy in either case. However, dispel magic targeted against an enemy or greater dispel magic targeted against an area would count as attacks.
