Dexterity penalties and flat-footed

I am building up a Rogue that uses feints to get in sneak attacks when not in flanking position or catching opponents in the surprise round. If a target that has a DEX penalty to their AC ( ie Dexterity 8 ), when feint "removes" their DEX bonus to AC, are they now harder to hit?
Also, are flat-footed targets that have a DEX penalty harder to hit?
It seems to me that DEX penalties should apply to AC even when flat-footed. Thoughts?

It removes dexterity bonus not dexterity modifier. If your modifier is less than or equal to 0 it is not a bonus, and is therefor unchanged.

Wow, that would be really funny to see a character that was better at avoiding hits when *not* prepared to fight!

But yeah, they're just as likely to blunder into an attack when flat footed as when not.
