If you're talking about a spell mirroring death ward except focusing on positive energy, be aware that the spell is a pretty nasty debuff for most PCs. It would be "will negates" touch spell with a stipulation that prevents the effects from positive energy, including conjuration (healing) spells and positive channeled energy. Any spells that restore negative levels would also fail to restore them. I'd say this spell would counter and dispel death ward (and vice versa). It's a strong spell at 4th level (mainly for NPCs), but I'd allow it.

This spell offers protection from the blinding effect of the Positive Energy Plane, and warded creatures gain no temporary hit points while there.
