Here is the description of the power
Shadow Well (Sp): At 9th level, you can use the Stealth skill even while being observed and without cover or concealment, as long as you are within 10 feet of a shadow other than your own. In addition, when within an area of darkness or dim light, as a standard action you may choose to switch places with a willing ally within 60 feet, who must also be in darkness or dim light.

sorcerer A, fighter B (friend of the sorcerer) and FOE C
C surprise A, and puts at his back, threatening A with a knife at the neck
A surprised, B surprises
next round, C talks, (Loss of round)
A activate the power and asks B to swap his place

Yes, it provokes.
No, B does not lose his action.
Yes, B gets to attack the Foe.
The really silly thing here is that you have ninth level characters actually somehow threatened by a knife at the neck. The sorcerer could probably just walk away and take the knife hit. The Foe should never have expected such a weak threat to work, he should have immediately attacked the guy with his surprise.

In terms of rules, i concurr 100%
but i tend to be more realistic
if at my table i get a FOE behind a Character and that one is surprised (perception vs stealth), you are basically helpless and the FOE can use a coup de grace on the character, based on the situation
(that was a vampire against the sorcerer, the vampire was Merrick of the Tome 5 "carrion crown" and not a casual guy :) )
