Here is the text in the part i need a clarification for
Shadow Well (Sp): At 9th level, you can use the Stealth skill even while being observed and without cover or concealment, as long as you are within 10 feet of a shadow other than your own. In addition, when within an area of darkness or dim light, as a standard action you may choose to switch places with a willing ally within 60 feet, who must also be in darkness or dim light.

1) the sorcerer is in a position where he has an enemy at his back, threatening him with a weapon (not a grapple, but more a "graphic situation than a game situation) at his throat
he calls for the power his friend the fighter, that can see the situation
the opponent Initiative is higher than the sorcerer and the initiative order is
opponent (that moves from the shadow and put him in the position to threaten the sorcerer, cutting his throat for a small bleed damage)
the sorcerer is suprised
the fighter is surprised
the opponent waste his next round talking
the sorcerer calls his power (standard action) to swap the position with the fighter
the fighter accept and moves in
now
the fighter is in the same position as the sorcerer, but still has to do his move
can he attacks the opponent ?
does he draws an attack of opportunity at some point ?
does he waste his standard action to swap his place as his sorcerer does ?
any suggestion ?

Assuming the whole area is in darkness or dim light:
>can he attacks the opponent ?
yes. The fighter has a full round worth of actions.
>does he draws an attack of opportunity at some point ?
No. Teleporting does not draw an attack of opportunity.
>does he waste his standard action to swap his place as his sorcerer does ?
No. The ability states only that the sorc must use their standard action.
Note that everyone probably has concealment against each other (20%) and are thus immune to precision damage (sneak attack) if the area is dim enough for this trick to work.
