Ok I'm curious to know does the counter strikes from panther style count as an attack action and does an AoO count as one aswell.


No, the "attack action" is a specific kind of standard action. You can't use vital strike in conjunction with AoOs or other similar attacks. Sorry!

Any ability which improves your ability to attack as a standard action (Cleave, Vital Strike, etc) is generally a pretty good mix with Panther Style. That is, so long as your plan is to take a standard action, then move around as a move action in hopes of provoking attacks of opportunity.

In particular, Cleave is a bit of a tradeoff: On one hand, the trouble is the -2 penalty to AC. If you're moving around and deliberately trigger AoOs, you're going to be subject to a lot of attacks, and so the higher your AC the better. However, because you'll be moving around a lot, it's more likely that you'll be able to position yourself where you can line up some cleaving opportunities.
