If two guys are grappling, are they still on their respective squares or considered to be on one square together?
Also, if an ally wanted to attack the enemy grappler, would there be a penalty to-hit due to the person who has the grappled condition?

If two guys are grappling, are they still on their respective squares or considered to be on one square together?
When a grapple is successful, the grapplers are moved adjacent squares to each other. If there is no room to do this, the grapple fails. They will not share a square.
Also, if an ally wanted to attack the enemy grappler, would there be a penalty to-hit due to the person who has the grappled condition?

There is no penalty for an outside attacker to perform a melee attack against one of the grapplers. Note that the grapplers are actually easier to hit since the grapple condition causes a -4 to their dexterity score.
Attackers without the Precise Shot feat using projectiles will have a penalty for firing into combat if one of the grapplers is an ally.
