It seems silly to me but yes penalties since it says it acts in all ways like the armor of it's type.
I'd say it would definitely be masterwork if you made one with an enhancement bonus since anything that can have an enhancement bonus must be masterwork but otherwise since it doesn't say that it is, it isn't.

They take the armor check penalty for a normal suit of that type of armor. And if they aren't proficient instant armor does not grant them proficiency. The armor wouldn't be treated as masterwork until it was at least +1 from the spell.
