Combat Maneuver, Stealth & AoO's

Odd question, does performing a Combat Maneuver outside of combat from stealth provoke an attack of opportunity?

Example: The Rogue see the City Watch Guard on patrol, waits in a wagon and when the guard walks past attempts to cut the head off the guards Halberd with their Adamantine Shortsword as a way to disarm but not kill the guard.

It provokes, but the guard is flat-footed and thus can't take the aoo.

This isn't outside of combat. The guard gets a Perception check. If he fails, the rogue gets surprise. He could indeed try to sunder the halberd on his surprise round, in which case the guard would be flat-footed as stringburka says and could only take an AoO if he had Combat Reflexes.
