Converting from 3.x backwards to 2e could be more difficult, as there are not as many classes, no PrC (well, you might take Kits from the Complete... series), no skill system worth the name (sorry, but that is my PoV), and watch out for differences in spell power etc.
Either way, you will have to exercise judgment and watch out for balance issues, especially if converting old adventures. There are a few official conversions on the WotC website, and floating around the net are several semi-official conversions.
