This came up in a game tonight:
The fighter was going up against a Shadow(?) which requires Magic to actually defeat (without Magic, it's shuffled back into its location). However, this was at the Woods which says that undefeated monsters are removed from the location.
Which should take priority?
Both of the cards go into effect. The Shadow isn't defeated, and then the location says that undefeated monsters are banished, so it's banished without being defeated.

Actually, you don't even have to worry about any kind of problems between the cards. The Shadow card says it isn't defeated, so then it would go back in the deck. No conflict there. The Woods card states that undefeated cards are banished, so that card is overruling the rule stating it is shuffled back into the deck.

In this case, it's not the location that overrides the monster card—it's that the location card overrides the rules.
If a card and this rulebook are ever in conflict, the card should be considered correct.
The Shadow says it's undefeated. Nothing in this situation changes that. The rules say that undefeated monsters get shuffled back into the location deck. But the location card says undefeated monsters get banished, and that trumps the rule.
